Terms of Use

Operator: Bacorn™ (a brand of the operating entity — final legal name to be inserted before launch).

1. Acceptance of terms

By accessing bacorn.store, using our services, submitting a form, or making a reservation or purchase, you agree to these Terms of Use and our Privacy Policy. If you do not agree, please do not use the site or services.

2. Eligibility

You must be at least 18 years old to place an order or reservation. Wholesale, foodservice, event, press, and partner inquiries must be made by someone authorized to act on behalf of the represented organization.

3. Products and availability

Bacorn is in an active development and pre-launch phase. Product formulations, ingredient statements, allergen disclosures, nutrition information, net weights, shelf-life, and packaging are still being finalized. We will publish the final versions on packaging and this site before any paid orders ship. Availability is limited and may vary by region.

4. Reservations, presales, and orders

Founders Batch reservations are free and non-binding. Reservations do not guarantee product delivery, price, or ship date; they establish priority for paid preorders when Mode B opens. Paid preorders are governed by the Presale Terms in effect at the time of your paid preorder.

5. Pricing, taxes, and payment

Published prices are exclusive of applicable taxes unless otherwise stated. Sales tax is collected where required by law. Payments are processed by a third-party processor (Stripe); we do not store payment-card numbers. Bacorn reserves the right to correct pricing errors and to cancel any order affected by a material error, with a full refund.

6. Shipping and delivery

Shipping and delivery are subject to the Shipping & Returns policy.

7. Subscriptions

Bacorn Flavor Club subscriptions, when offered, are governed by the Subscription Terms. You will always receive a notice of price and cadence before any charge.

8. Wholesale, foodservice, event, and partner engagements

Wholesale purchases, foodservice pilots, event contracts, and partner agreements are governed by the applicable Wholesale Terms, master service agreement, or partner contract in effect between the parties. Nothing on this site creates a binding purchase order or contract until it is expressly agreed in writing.

9. Intellectual property

All Bacorn brand assets — including but not limited to the Bacorn™ mark, mascot characters, packaging artwork, website copy, photography, and videos — are the exclusive property of the operating entity. Downloadable assets on the Press page are licensed for editorial coverage of Bacorn only and may not be altered, resold, or used to imply endorsement.

10. User submissions

By submitting a review, testimonial, photo, or other content to Bacorn, you grant Bacorn a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and display that content in connection with Bacorn marketing, subject to our Privacy Policy. You represent that you own the content or have permission to submit it.

11. Prohibited conduct

You agree not to (a) attempt to disrupt or reverse-engineer the site or services; (b) use automated scrapers except as expressly permitted by our robots.txt; (c) impersonate any person or entity; (d) resell Bacorn product in a manner that violates the Wholesale Terms; or (e) use the site for any unlawful purpose.

12. Disclaimers

The site and services are provided "as is" and "as available." Bacorn does not warrant that the site will be uninterrupted or error-free. All product-related statements are subject to final formulation, labeling, and regulatory review before shipment.

13. Limitation of liability

To the maximum extent permitted by law, Bacorn and its officers, directors, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the site or services. Nothing in these Terms limits liability for gross negligence, willful misconduct, or matters that cannot be excluded by law (including product liability for defective food product under applicable state law).

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Harris County, Texas, unless a mandatory arbitration or class-action-waiver clause is added in the finalized draft with counsel.

15. Changes to these Terms

We may update these Terms from time to time. The effective date at the top will change accordingly, and continued use of the site after an update constitutes acceptance of the updated Terms.
